Referral Program Terms

Last Updated: August 25, 2026

These Referral Program Terms ("Program Terms") govern participation in the Refer & Earn referral program ("Program") offered by SJW Group, Inc., a New York corporation, d/b/a More Good Reviews ("MGR", "we", "us", or "our").

By generating, sharing, or using a referral link, connecting a payout account, or otherwise participating in the Program, you agree to these Program Terms in addition to our Terms of Service and Privacy Policy. If you do not agree, do not participate in the Program.

Capitalized terms not defined here have the meanings given in our Terms of Service.

1. Overview

The Program allows eligible MGR account holders ("Affiliates" or "you") to refer new customers to MGR and earn commissions on qualifying subscription payments made by those customers ("Referrals").

MGR may modify, suspend, or terminate the Program, or your participation in it, at any time as described in Section 12.

2. Eligibility

To participate, you must:

  1. have an active MGR account in good standing and be at least 18 years old;
  2. not be a sub-account or portal user invited under another customer's workspace (sub-accounts are not eligible);
  3. comply with these Program Terms, our Terms of Service, applicable law, and any instructions we provide in the Refer & Earn dashboard;
  4. not be located in, or a resident of, any country or region subject to U.S. embargoes or comprehensive sanctions, and not be listed on any U.S. government restricted-party or sanctions list; and
  5. if you want to receive commission payouts, be eligible to create and maintain a United States Stripe Connect Express account and link a U.S. bank account that can receive payouts in USD, as described in Section 8.

Anyone with an eligible MGR account may refer customers and track referrals. Payouts are available to U.S. affiliates only at this time. If you are outside the United States or cannot connect a qualifying U.S. bank account, you may still share your referral link, but you will not receive commission payouts until we support payouts in your jurisdiction.

We may decline, suspend, or remove participation for any account that does not meet these requirements or that we reasonably believe poses a legal, fraud, or reputational risk.

3. Enrollment and Referral Links

3.1 Enrollment

Eligible account holders are enrolled automatically when they access Refer & Earn features. We assign each Affiliate a unique referral code and link. Your default commission rate and commission structure are shown in your dashboard and may differ from other Affiliates.

3.2 Referral Attribution

A Referral is attributed to you when a new user signs up for an MGR account using your referral link or referral code (for example, through the ref query parameter or referral tracking described in our Cookie Policy).

Unless we agree otherwise in writing for your account, we use last-touch attribution: the most recent valid referral source recorded in the prospective customer's browser at the time of signup generally receives credit. We may assign first-touch attribution to specific Affiliates by written agreement. Under first-touch attribution, credit goes to the Affiliate whose referral link was clicked first, even if the prospective customer later clicks another referral link before signing up.

Signups must occur within the attribution window measured from the relevant referral click. For last-touch attribution, the window is measured from the most recent click on your referral link. For first-touch attribution, the window is measured from the prospective customer's first click on your referral link. Unless we agree otherwise in writing or set a different window for your account, the default attribution window is ninety (90) days. Signups that occur after the attribution window expires are not attributed, even if the referral identifier is still stored in the browser.

Attribution depends on the referral identifier and click timestamp remaining available in the prospective customer's browser when they sign up. Attribution may be lost or reassigned if the user clears cookies or local storage, uses a different browser or device, blocks tracking, clicks another referral link before signing up (under last-touch attribution), or signs up after the attribution window expires.

Each new user may be attributed to only one Affiliate. We do not award commissions for duplicate accounts, existing customers who create a second account, or signups we determine in our reasonable discretion were not bona fide new customers. Commissions are earned only when an attributed Referral makes a qualifying subscription payment, as described in Section 4.

3.3 Self-Referrals

You may not earn commissions on your own account, accounts you control, or signups using the same email address as your Affiliate account. We may void attribution and commissions for self-referrals or attempts to circumvent this rule.

4. Qualified Commissions

4.1 What We Pay On

Commissions are calculated as a percentage of qualifying invoice revenue, which means the amount billed on a paid MGR subscription invoice excluding tax, after applicable discounts, as shown in our billing records. Commissions are earned only on successful subscription payments processed through MGR's billing system.

We do not pay commissions on:

  • free trials that never convert to a paid subscription;
  • taxes, fees, or pass-through charges;
  • refunded, voided, or unsuccessfully collected amounts;
  • invoices that are reversed due to chargebacks, payment disputes, or billing errors; or
  • payments from Referrals that are no longer attributed to you under these Program Terms.

4.2 Commission Rate and Duration

Unless we agree otherwise in writing, Affiliates earn a recurring commission at the rate shown in the Refer & Earn dashboard on each qualifying payment from an attributed Referral for as long as that Referral remains a paying customer and your participation remains active (recurring lifetime commissions). We may change your commission rate or structure prospectively by notice in the dashboard, by email, or by updating these Program Terms.

4.3 Commission Status

Commissions generally progress through the following statuses:

  1. Pending — recorded when a qualifying payment succeeds and subject to a 30-day hold before approval;
  2. Approved — eligible for payout after the hold period and absent reversal under Section 7;
  3. Paid — included in a completed payout under Section 8; or
  4. Reversed — adjusted or canceled under Section 7.

Dashboard amounts are estimates for convenience. MGR's internal records control commission calculations and payout eligibility.

5. Promotional Rules

5.1 Required Disclosures

Whenever you promote MGR or the Services, you must clearly and conspicuously disclose your financial relationship with MGR in accordance with the FTC Endorsement Guides and any comparable advertising, endorsement, or consumer-protection laws that apply to you. A sufficient disclosure makes clear that you earn a commission or other compensation when someone signs up through your referral link (for example, "I earn a commission if you sign up through my link"). The disclosure must be placed near your referral link or recommendation, be easy to notice, and not be hidden behind another link or buried in unrelated text.

5.2 Prohibited Conduct

You are responsible for how you promote MGR. You agree that you will not:

  1. make false, misleading, or unsubstantiated claims about MGR, its features, pricing, or results;
  2. send unsolicited email, SMS, or other messages that violate anti-spam, telecommunications, or consumer protection laws, including CAN-SPAM, TCPA, CASL, or comparable laws;
  3. bid on MGR trademarks or confusingly similar terms in paid search advertising without our prior written consent;
  4. use cookie stuffing, pop-ups, hidden iframes, spyware, or other deceptive attribution methods;
  5. offer cash rebates, sweepstakes entries, or other incentives that violate our Terms of Service, applicable law, or third-party platform policies unless we approve the promotion in writing;
  6. represent yourself as an employee, agent, or official partner of MGR except as expressly permitted; or
  7. use the Program in any way that harms MGR, our customers, or our reputation.

We may require you to remove or modify promotional content and may withhold or reverse commissions related to non-compliant promotion.

6. Referral Information

To help you track performance, we display limited information about your Referrals in the Refer & Earn dashboard, such as first name, last initial, signup date, and subscription status.

You receive this information solely to monitor your own referral activity. With respect to Referral information, you act as an independent controller and are solely responsible for your compliance with applicable privacy and data-protection laws. You agree that you will:

  • use Referral information only to track your participation in the Program;
  • keep it confidential and protect it with reasonable safeguards;
  • not contact, market to, solicit, or otherwise use Referral information to reach the referred individuals, except through a lawful, independent relationship you have with them outside the Program;
  • not sell, license, publish, or transfer Referral information to any third party; and
  • delete Referral information when you stop participating in the Program or upon our request, except where retention is required by law.

We may reduce, mask, or stop sharing Referral information at any time. For more information about how we handle personal information, see our Privacy Policy.

7. Adjustments and Reversals

We may reverse or adjust commissions that were calculated in error or that we reasonably determine should not be paid, including when:

  • a payment is refunded, credited, or fails;
  • a chargeback or payment dispute is filed;
  • a Referral cancels before a pending commission becomes approved;
  • attribution was invalid, including self-referrals or fraudulent signups; or
  • you violate these Program Terms or our Terms of Service.

If we have already paid a commission that is later reversed, we may set off the amount against future commissions or any other amounts we owe you. If your balance is insufficient, the reversed amount is a debt you owe MGR that you will repay promptly upon our request, and we may recover it through any other lawful means. Nothing in this Section limits other remedies available to MGR under our Terms of Service or applicable law.

8. Payouts

8.1 Stripe Connect

Payouts are made through Stripe Connect Express accounts. To receive payouts, you must complete Stripe's onboarding and verification requirements and maintain an account in good standing with transfers and payouts enabled. Stripe's services are subject to Stripe's terms and privacy policy. MGR uses Stripe as described in our Sub-processors list.

8.2 United States Only

At this time, payout accounts must be eligible United States Stripe Connect accounts, and payouts are made in USD to U.S. bank accounts. If you cannot receive payouts through Stripe Connect in the United States, you may participate in referral tracking but will not receive commissions until we support payouts in your jurisdiction.

8.3 Minimum Balance and Timing

Approved commissions are paid manually when your approved balance reaches at least fifty dollars ($50.00 USD) and your Stripe Connect account is ready. We may pay more or less frequently at our discretion. Connecting a bank account does not guarantee a payout on any particular schedule.

8.4 Taxes

You are solely responsible for all taxes, filings, and reporting obligations arising from commissions you receive. MGR does not provide tax advice. We may request tax information (such as a Form W-9) or issue tax forms where required by law before or after making payouts.

8.5 Failed or Returned Payouts

If a payout fails because of incorrect bank details, a closed account, Stripe restrictions, or other reasons outside MGR's control, we may hold the balance until you resolve the issue. We are not responsible for fees charged by Stripe or your bank.

8.6 Unclaimed and Forfeited Balances

You are responsible for connecting and maintaining a valid Stripe Connect account and providing any required verification or tax information so that we can pay approved commissions. Approved commissions are not payable until your balance reaches the minimum threshold and your payout account is ready. We may treat an approved balance as forfeited if it remains unpaid for twelve (12) months because you have not connected a valid payout account, completed required verification or tax information, or otherwise enabled payment, or because we are unable to reach you using the contact information on your account. Where unclaimed-property or escheatment laws require otherwise, we will handle balances as required by law.

9. No Employment or Agency Relationship

You participate in the Program as an independent contractor. Nothing in these Program Terms creates a partnership, joint venture, employment, franchise, or agency relationship between you and MGR. You have no authority to bind MGR or make commitments on our behalf.

10. Intellectual Property

We grant you a limited, revocable, non-exclusive license to use MGR name, logos, and approved marketing materials solely to promote the Services under these Program Terms. You may not modify our trademarks, register confusingly similar domains or social handles, or imply endorsement beyond what we authorize in writing.

All MGR intellectual property remains ours. Upon termination of your participation, you must stop using our branding except as required to disclose past recommendations truthfully.

11. Disclaimers

THE PROGRAM IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, MGR DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not guarantee that any Referral will sign up, subscribe, remain a customer, or generate any minimum commission. Dashboard statistics may be delayed or adjusted.

12. Changes, Suspension, and Termination

We may change commission rates, hold periods, payout thresholds, attribution windows, eligibility rules, or any other aspect of the Program by updating these Program Terms, posting notice in Refer & Earn, or emailing the address on your account. Changes apply prospectively unless otherwise required by law or stated in the notice.

We may suspend or terminate your participation immediately if you breach these Program Terms, our Terms of Service, or applicable law; if we suspect fraud or abuse; or if continued participation poses a legal or operational risk. Upon termination, unpaid pending commissions may be forfeited, and approved but unpaid commissions will be handled at our reasonable discretion subject to Sections 7 and 8.6.

Your participation in the Program requires an active MGR account. If you close your MGR account, or we suspend or terminate it under our Terms of Service, your participation in the Program ends automatically and the consequences described in the preceding paragraph apply.

You may stop participating at any time by ceasing to promote your referral link and disconnecting your payout account where Stripe allows. Termination does not affect obligations that accrued before termination.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MGR WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST COMMISSIONS, OR LOST BUSINESS ARISING OUT OF OR RELATED TO THE PROGRAM.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE PROGRAM WILL NOT EXCEED THE TOTAL COMMISSIONS PAID OR PAYABLE TO YOU IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

These limitations apply except where prohibited by law and are in addition to the limitations in our Terms of Service.

14. Indemnification

In addition to any indemnification obligations in our Terms of Service, you will defend, indemnify, and hold harmless MGR and its officers, directors, employees, and agents from and against any third-party claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) how you promote MGR or the Services, including your advertising, messaging, and disclosure practices; (b) your violation of these Program Terms, our Terms of Service, or applicable law (including anti-spam, telemarketing, advertising, consumer-protection, privacy, and data-protection laws); (c) your use of Referral information; or (d) any tax obligation arising from commissions paid to you. We may assume control of the defense of any indemnified claim, and you will cooperate with us.

15. General

  1. Order of precedence. If there is a conflict between these Program Terms and our Terms of Service regarding the Program, these Program Terms control for Program participation and commissions. Our Terms of Service continue to govern your use of the Services generally, including provisions on governing law, venue, and dispute resolution, which apply to disputes arising out of the Program.
  2. Assignment. You may not assign or transfer your participation without our prior written consent. We may assign the Program to an affiliate or successor.
  3. Entire agreement. These Program Terms, together with the Terms of Service and Privacy Policy, constitute the entire agreement regarding the Program unless we sign a separate written referral agreement with you.
  4. Survival. Provisions that by their nature should survive termination will survive, including Sections 5, 6, 7, 8.6, 9, 11, 13, and 14, and any accrued payment or repayment obligations.
  5. Contact. Questions about the Program may be sent to legal@moregoodreviews.com with the subject line Referral Program.
